1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mtaalam Digital Learning ("Mtaalam," "we," "us," or "our") regarding your access to and use of the Mtaalam Digital Learning platform, including our website at https://lms.sanganosoft.co.zw/, mobile applications, and related services (collectively, the "Platform").

- Parents/guardians are responsible for supervising minors' use of the Platform
- By registering a minor, you represent that you are the parent/legal guardian with authority to bind the minor to these Terms

Mtaalam provides access to educational courses, video lectures, quizzes, assignments, and other learning materials for Primary and Secondary education levels in Zimbabwe, aligned with the ZIMSEC curriculum.
3.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Platform for personal, non-commercial educational purposes
- Stream and view course content available through your subscription
- Download course materials where explicitly permitted
- Participate in discussions, forums, and chat features
3.3 Restrictions on Use
You agree NOT to:
- Download, record, copy, or redistribute course content without explicit permission
- Share your account credentials or subscription access with others
- Use automated tools (bots, scrapers) to access the Platform
- Resell, sublicense, or commercially exploit any Platform content
- Remove watermarks, copyright notices, or other proprietary markings
- Reverse engineer, decompile, or disassemble any Platform component
3.4 Educational Outcomes
Disclaimer: While we strive to provide high-quality educational content, Mtaalam does not guarantee specific academic outcomes, exam results, or certification success. Individual learning outcomes depend on various factors including student effort, prior knowledge, and external circumstances.
4. Subscription Plans and Payment
4.1 Subscription Plans
Mtaalam offers various subscription plans with different access levels, course limits, and features. Current plans include:
- Free Tier: Limited access to select free courses
- Basic Plan: Access to a set number of courses per month
- Standard Plan: Expanded course access with additional features
- Premium Plan: Unlimited course access with all premium features
4.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- Billing occurs on the date you initially subscribed (your "Billing Date")
- Payment methods accepted: Credit/Debit cards, Mobile Money (EcoCash, OneMoney), Bank Transfer
- Subscriptions automatically renew unless cancelled before the renewal date
- We will notify you before charging recurring subscription fees
4.3 Price Changes
We reserve the right to change subscription prices at any time. If we increase prices for your subscription:
- We will notify you at least 30 days before the change takes effect
- Your existing subscription price remains unchanged until your next renewal
- You may cancel your subscription before the price change takes effect

4.5 Cancellation
- You may cancel your subscription at any time through Account Settings
- Cancellation takes effect at the end of your current billing period
- You retain access to paid features until the subscription expires
- Account data is retained for 90 days after cancellation, then archived
5. Intellectual Property Rights
5.1 Platform Content Ownership
All content on the Platform, including but not limited to:
- Video lectures, audio recordings, and multimedia materials
- Course syllabi, lesson plans, assignments, and quizzes
- Text, graphics, images, photographs, and illustrations
- Software, code, databases, and algorithms
- Trademarks, service marks, logos, and trade names
is the exclusive property of Mtaalam Digital Learning or its content licensors and is protected by:
- Copyright Act Chapter 26:01 of Zimbabwe
- Patent and Industrial Designs Act
- International copyright treaties and conventions
5.2 User-Generated Content
When you submit content to the Platform (forum posts, reviews, comments, assignments), you grant Mtaalam:
- A worldwide, non-exclusive, royalty-free license to use, display, and distribute your content
- The right to moderate, edit, or remove content that violates these Terms
- Permission to use your name and profile information in connection with your content
You retain ownership of your original content but represent and warrant that:
- You own or have permission to submit the content
- Your content does not infringe on third-party rights
- Your content complies with these Terms and applicable laws

6. User Conduct and Prohibited Activities
6.1 Code of Conduct
As a member of the Mtaalam community, you agree to:
- Treat other users, instructors, and staff with respect and courtesy
- Use discussion forums and chat features responsibly and constructively
- Submit your own original work for assignments and assessments
- Report violations of these Terms or inappropriate content
- Foster a safe, inclusive, and positive learning environment
6.2 Prohibited Activities
You must NOT engage in any of the following prohibited activities:
Security Violations
- Hacking, cracking, or attempting to breach security
- Introducing viruses, malware, or harmful code
- Attempting unauthorized access to accounts
- Circumventing access controls or restrictions
- Interfering with Platform functionality
Content Violations
- Posting illegal, harmful, or offensive content
- Harassment, bullying, or threatening behavior
- Hate speech, discrimination, or violence incitement
- Spam, advertising, or unsolicited promotions
- False or misleading information
Misuse of Service
- Creating fake or multiple accounts
- Impersonating others or misrepresenting affiliation
- Selling or transferring account access
- Using Platform for commercial purposes without permission
- Scraping or data mining Platform content
Academic Dishonesty
- Cheating on quizzes or exams
- Plagiarizing assignments or content
- Sharing quiz answers or exam questions
- Using unauthorized aids during assessments
- Collaborating when individual work is required
6.3 Consequences of Violations
Violations of these Terms may result in:
- Warning notices and requirement to cease prohibited activity
- Temporary suspension of account access
- Permanent termination of account without refund
- Removal of content and revocation of certificates
- Legal action for damages and law enforcement reporting
7. Disclaimers and Limitations of Liability
7.1 "AS IS" Disclaimer
IMPORTANT DISCLAIMER: THE PLATFORM AND ALL CONTENT, COURSES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
7.2 No Warranty
Mtaalam does not warrant that:
- The Platform will be uninterrupted, timely, secure, or error-free
- Course content is accurate, complete, reliable, or current
- Defects will be corrected or that the Platform is free of viruses
- Results from Platform use will meet your specific requirements
- Third-party links, content, or services are accurate or safe
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY ZIMBABWEAN LAW:
- Mtaalam shall not be liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the 12 months before the claim
- We are not liable for loss of data, profits, revenue, business opportunities, or reputation
- We are not responsible for third-party actions, content, or services
7.4 Exceptions
These limitations do not apply to liability that cannot be excluded under Zimbabwean law, including:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Violations of consumer protection laws
8. Indemnification
You agree to defend, indemnify, and hold harmless Mtaalam Digital Learning, its affiliates, instructors, partners, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising out of or related to:
- Your violation of these Terms of Service
- Your violation of any rights of another person or entity
- Your use or misuse of the Platform or services
- Content you submit or post on the Platform
- Your violation of any applicable laws or regulations
9. Account Termination
9.1 Termination by User
You may terminate your account at any time by:
- Accessing Account Settings and selecting "Delete Account"

9.2 Termination by Mtaalam
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you:
- Breach these Terms of Service
- Engage in fraudulent, illegal, or harmful activities
- Fail to pay subscription fees
- Pose a security or legal risk to the Platform or other users
9.3 Effect of Termination
Upon account termination:
- Your right to access the Platform immediately ceases
- You must cease all use of Platform content and materials
- Your data may be deleted or archived per our data retention policy
- Certificates earned remain valid but cannot be re-downloaded
- Sections of these Terms that should survive termination will remain in effect
10. Dispute Resolution and Governing Law
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe, without regard to its conflict of law provisions.
10.2 Jurisdiction
You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Zimbabwe, and you consent to the personal jurisdiction of such courts.
10.3 Informal Resolution
Before filing a legal claim, you agree to contact us at legal@mtaalam.co.zw and attempt to resolve the dispute informally. We will make reasonable efforts to settle the matter through good-faith negotiation.
10.4 Arbitration Option
If informal resolution fails, either party may initiate binding arbitration under the Arbitration Act Chapter 7:15 of Zimbabwe. The arbitration shall be:
- Conducted in Harare, Zimbabwe
- Administered by a mutually agreed arbitrator
- Conducted in English language
- Confidential and binding on both parties
11. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top of this page
- For material changes, we will notify you via email or prominent Platform notice
- Changes become effective 30 days after notification for existing users
- Continued use after changes constitutes acceptance of modified Terms
If you do not agree to modified Terms, you must stop using the Platform and terminate your account.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Mtaalam.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.
12.5 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
12.6 Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, strikes, or internet/telecommunications failures.

These Terms are written in English. Any translations provided are for convenience only. In case of conflict, the English version prevails.
